Mr. Liu works extensively in the area of private equity and venture capital, merger and acquisition, overseas listing and offshore bond. He regularly advises major private equity and venture capital funds, such as National Social Security Fund, SoftBank, SIG, Sequoia, Goldman Sachs, L Catterton, Vertex, Ascendent Capital, FountainVest, Baring Asia, De Shaw Group, Picus Capital, Chaos Group, etc. for their investments in the industries of telecommunications and media, AI and advanced manufacturing, pharmaceutical chemicals, retails etc. His practice also focuses on offshore capital markets, including overseas listing, such as the listing of Tongcheng-Elong on SEHK, the listing of JD.com, Inc. on NASDAQ, the listing of Xunlei Limited on NASDAQ, the listing of China First Chemical Holdings Limited on SEHK, the listing of Secoo Holding Limited on NASDAQ, the listing of Ozner Water International Holding Limited on SEHK, privatization, such as the going-private transaction of Zhaopin Limited, and JD’s public offering of notes in Singapore. Mr. Liu also represents many notable companies and investors in connection with the M&A and corporate restructurings in exhibition, education, healthcare, retail, TMT sectors etc.

With his professional knowledge of the legal systems of China and the United States, skilled communication, extensive practical experience and keen market insight, Mr. Liu is particularly strong in understanding the client's core business needs, assisting the client to design practically achievable structure and ultimately facilitating the deal in a complex and variable business and regulatory environment.

  • Represented JD.com for its strategic cooperation with Tencent Holdings, and its IPO and second offering on NASDAQ and notes offering (BofA Merrill Lynch and UBS)

  • Represented Tongcheng Network for the merger with E-Dragon and its IPO on SEHK (Morgan Stanley, J.P. Morgan and CMBI)

  • Represented Xunlei Limited for its three rounds of pre-IPO financing from Murdoch, Primavera and Xiaomi/Kingsoft respectively, for its IPO on NASDAQ (JP Morgan and Citi) and subsequent spin-off of Xunlei Kankan

  • Represented Goldman Sachs and Standard Charted for the IPO of Ozner Water on SEHK

  • Represented China First Chemicals for its IPO on SEHK (Morgan Stanley)

  • Represented Jefferies and BNP Paribas (as the joint bookrunners) for the IPO of Secoo Holding Limited (NASDAQ)

  • Represented the Special Committee in connection with Zhaopin Limited’s going-private transaction from the New York Stock Exchange

  • Represented SoftBank Vision Fund for its investments in WeWork (listed on NYSE), Sense Time (listed on SEHK), Cloudminds, Guazi, Klook, etc.

  • Represented Jiangxiaobai’s restructuring and C Round financing (led by China Renaissance) and subsequent financing of Jiangji Distillery (Hillhouse and Jiangjin District Government)

  • Represented Nucarf for its red-chip restructuring, its strategic acquisition of Baoduitong, and Series A financing

  • Represented Vlinker for its financing from Warburg Pincus’s affiliate

  • Represented Advent and Cinven’s joint acquisition of elevator technology business from Thyssenkrupp

  • Represented Vitruvian’s led acquisition of Fotona Holdings
