ZHONG LUN Assists Airbus in Establishing a Joint Venture in Chengdu China to Operate China's First Aircraft Lifecycle Services Project
Airbus, Tarmac Aerosave and a state-owned platform company of Shuangliu District of Chengdu have recently joined hands to establish China’s first joint venture for aircraft lifecycle services in Chengdu, China - Airbus (Chengdu) Lifecycle Services Ltd. (the “JV"). The JV will create and operate services center(s) in China for commercial aircraft second life services, providing one-stop services for various types of aircrafts ranging from aircraft parking and storage to maintenance, upgrades, conversions, dismantling and recycling services for customers located in China and other Asia-Pacific regions. This signifies that Airbus Group’s footprint in China has expanded to cover the entire civil aviation industry chain, which will contribute to strengthening China’s civil aviation industry chain in aftermarket services.
This project is the first Aircraft Lifecycle Services project planned by Airbus Group outside Europe, and is also the only aircraft recycling project worldwide to be operated by an aircraft manufacturer so far. Tarmac Aerosave will bring to the JV its proven expertise in eco-efficient aircraft dismantling. The state-owned platform company of Shuangliu District of Chengdu will support the JV in project site construction.
Zhong Lun, as the Chinese legal advisor to Airbus, end-to-end comprehensive legal services for this project, including advising on issues related to PRC laws such as corporate governance, operation qualifications and government approvals, and drafting, reviewing, revising and negotiating a series of legal documents such as the Investment Agreement, Joint Venture Agreement, Articles of Association and Design and Construction Agreement. The Zhong Lun team was led by partners Richard Zeng and Wangqing Sun, and key team members included Haifeng Liu, Hui Hu and Jiayang Wang.
